Northern Investors Company PLC (In Members’ Voluntary Liquidation)
On 11 December 2018, Northern Investors Company PLC (the “Company”) was placed into members’ voluntary liquidation, and Patrick Brazzill and Richard Barker of Ernst & Young LLP, 1 More London Place, London SE1 2AF, were appointed as Joint Liquidators, following the passing of the special resolution at the General Meeting held on that day, in accordance with the details set out in the circular published by the Company on 16 November 2018.
Following application by the Company, the UK Listing Authority has cancelled the listing of the Company’s Shares on the Official List and the London Stock Exchange has cancelled the trading of the Company’s Shares on the London Stock Exchange’s main market for listed securities, in each case with effect from 8:00 am (London time) on 12 December 2018.
Distribution to shareholders
The Joint Liquidators of Northern Investors confirm that on 31 January 2019 an initial distribution of 115p per issued ordinary share of the Company was made, and this was paid by cheque to certificated shareholders and via CREST accounts to those shareholders holding shares in CREST.
Future distributions to shareholders
The timing and quantum of any future distribution(s) to the shareholders of Northern Investors is dependent upon the realisation of the remaining assets of the Company. As per the circular issued to shareholders on 16 November 2018, this divestment strategy is likely to take some time.
